TERMS OF USE OF THE “ALERT” SERVICE

1. SCOPE 
These Terms govern the use of the free information update service provided by Gestore dei Mercati Energetici SpA (hereinafter “GME”) and called “Alert” (hereinafter “Service”) and the related agreement established between you, as the User of the Service, and GME.
To use the Service via e-mail, you must register with the Service, accepting the following Terms of Use and, explicitly, the clauses referred to in articles 1341 and 1342 of the Italian Civil Code.

2. OBLIGATIONS OF THE USER    
You hereby agree to:
a) register with the Service only if you are of age;
b) upon registration, provide your personal data in a truthful and accurate way;
c) take care of configuring your computer and installing the e-mail software needed to use the Service at your own expense, as well as bear all telephone charges for  connection to the Internet;
d) comply with the instructions provided by GME, as well as with any other applicable legislative or regulatory provision;
e) reproduce, change, publish, transmit in electronic form or with other means, make copies, create excerpts, distribute, sell, as well as translate the information and data provided by GME through the Service, solely for your own non-commercial use, except with the prior written consent of GME. However, your use of the information and data provided through the Service is subject to the mention of the source “Gestore dei Mercati Energetici S.p.A”. You will be not only contractually liable for breaching this clause, but also reported to judicial authorities by GME and subject to criminal prosecution and/or administrative proceedings and to enforcement of the penalties provided by law;
f) upon registration, freely identify the subjects on which GME will periodically send 	you e-mails and/or information, market studies and research, statistics, etc. 

You hereby acknowledge and accept that GME may - at any time and in its sole discretion - change and/or hide the information and data provided through the Service, in whole or part, without notice.

3. INTELLECTUAL PROPERTY
You hereby acknowledge and accept that:
a)the information and data provided through the Service are the exclusive property of or held under licence by GME and, as such, protected by national laws and by international conventions on intellectual and/or industrial property;
b)the “Gestore Mercati Energetici”, “GME” and “PUN INDEX GME” trademarks are the property of GME. 
  The “GSE” trademark is the property of “Gestore dei Servizi Energetici - GSE 	S.p.A.”. 
  The “AU” trademark is the property of “Acquirente Unico S.p.A.”. 
  The “EuroPEX Association of European Power Exchanges” trademark is the property of “Europex”. 

You agree that the aforementioned trademarks, as well as any other trademarks as may be published through the Service, are the property of their respective owners and you may not use them without their prior written consent.

4. LIMITATION OF LIABILITY
You agree to hold GME harmless, except in ascertained cases of wilful misconduct or gross negligence, from any events and/or damages resulting from your use of the Service. GME makes every reasonable effort to provide accurate and up-to-date information through the Service. However, GME makes no warranty as to the accuracy and currency of the information and data provided through the Service and disclaims any responsibility or liability for errors or omissions in connection therewith.
GME cannot guarantee the completeness and/or accuracy of the information and data provided through the Service and deriving from sources other than GME and GME cannot avoid that information and data coming from sources regarded as reliable may under some circumstances prove to be inaccurate, incomplete or not current due to causes of a technical nature or beyond the control of GME. 
GME disclaims any liability for damages resulting from interruptions, suspensions, delays or malfunctions in the provision of the Service which may be due to the electricity supply or telephone service, to fortuitous events, force majeure or other causes related to the medium through which the Service is provided.

5. NO WARRANTIES 
You will use the Service at your sole responsibility. GME, its employees, officers, directors, agents, consultants or third parties engaged in the creation, production or the putting on line of the Service disclaim any liability for damages arising from your use of the Service. Notwithstanding the above, GME represents that the Service is provided “as is” without any warranty, whether express or implied, including but not limited to its fitness or suitability for a particular purpose.

6. SOLICITATION OF INVESTMENT 
None of the data and information provided through the Service will constitute a solicitation of investment, a pre-requisite or an element of assessment for investments and/or financial transactions on your part.

7. AMENDMENTS 
GME reserves the right to amend these Terms of Use at any time and without notice. Any such amendment will be made known to you upon your access to the Service, as you will be asked to read and accept the then applicable Terms of Use. 

8. DURATION AND TERMINATION
These Terms of Use become effective when, after completing the procedure for online registration, you receive a message confirming your registration.
GME may - at any time and in its sole discretion - suspend or interrupt the provision of the Service.
You may at any time request the cancellation of your registration by using the “Cancel all my data” option.

9. GOVERNING LAW AND JURISDICTION
These Terms of Use are governed by and will be construed in accordance with the Italian Law. The Court of Rome will have jurisdiction to hear any dispute arising from the implementation or interpretation of this Agreement.

Under articles 1341 and 1342 of the Italian Civil Code, you expressly agree to be bound by the following clauses of these Terms of Use: Article 2 (Obligations of the User), Article 4 (Limitation of Liability), Article 5 (No Warranties), Article 7 (Amendments), Article 8 (Duration and Termination) and Article 9 (Governing Law and Jurisdiction).

(If you do not accept these Terms of Use and the clauses referred to in articles 1341 and 1342 of the Italian Civil Code, you will not be granted permission to use the “Alert” Service).

DATA PRIVACY STATEMENT UNDER ART. 13 OF LEGISLATIVE DECREE 196/03 ON THE PROCESSING OF PERSONAL DATA PROVIDED UPON REGISTRATION WITH GME’S “ALERT” SERVICE 

Under art. 13 of Legislative Decree no. 196 of 30 June 2003 (Personal Data Protection Code, hereinafter “Privacy Code”), Gestore dei Mercati Energetici SpA (hereinafter “GME”) informs you about the processing of your personal data (hereinafter “Data”) provided upon your registration with the free information update service called “Alert” (hereinafter “Service”), as well as about the rights that you may exercise under the Privacy Code.

1.	Data Controller
The “Data Controller” is GME, having its registered office in Rome, Viale Maresciallo Pilsudski, 122/124, and represented by its interim Chief Executive Officer.

2.	Data Processor
The “Data Processor” is the interim Director of the “Institutional Relations and Communication” organisational unit, who has the task of responding to all requests, if any, concerning the processing of the Data. The Data Processor, domiciled in such capacity at GME’s registered office, holds the updated list of the other Data Processors.

3.	Purposes of the processing
GME will process the Data in fair and lawful ways, during the period indicated in the applicable legislation and regulations. The Data may be processed also in connection with activities which go beyond the performance of obligations arising from contractual relations with GME or anyway which are not strictly related to and required for such performance. The Data will be processed solely for the following purposes:  
a)	activities of public relations and marketing, including the sending of GME’S newsletter, the preparation of market studies and research and the sending of invitations to events and/or seminars;
b)	informational, scientific and statistical purposes.

4. Modalities of the processing
GME will use the Data for the above-mentioned purposes, in compliance with the applicable legislation and with security and confidentiality obligations. GME will process the Data manually and/or electronically, adopting organisational and logic procedures for safeguarding their security and confidentiality.

5.	Persons in charge of the processing
Within GME, the Data will be communicated solely to persons requiring them within the scope of their duties. Such persons will process the Data as “persons in charge of the processing” and they will be duly instructed to avoid loss, destruction, unauthorised access to or unauthorised processing of the Data.

6. Communication and dissemination 
The Data will not be communicated to third parties or disseminated. 

7. Provision of the Data and consequences of failure to give your consent
Provision of the Data for the purposes referred to in para. 3 above is optional and failure to give your consent does not involve any consequence. However, failure to provide the Data or their change and/or cancellation may prevent or limit:
-	your capability of receiving informational material in which you may be interested; 
-   GME’s capability of providing you with the demanded Service and/or of keeping you 	up to date about events, seminars, etc.

8.	Rights of the data subject
Finally, GME informs you that you may exercise the rights referred to in art. 7 of the Privacy Code (e.g. access, updating, rectification, integration, anonymisation, erasure and blocking of the Data that have been processed unlawfully, objection to processing of the Data on legitimate grounds, etc.) by writing to the following address:

With reference to the above data privacy statement, which is issued under art. 13 of the Privacy Code and in connection with the specific purposes of the processing referred to in para. 3 above (“Purposes of the processing)”, we ask you to give your consent to the processing of your personal data by GME. The Data will be processed solely for the above-mentioned specific purposes, also in connection with activities which go beyond the performance of obligations arising from contractual relations with GME or anyway which are not strictly related to and required for such performance.
